Province, LLC seeks a Corporate Counsel to support the General Counsel across a broad range of legal, regulatory, and risk matters in a fast‑paced professional services environment. The role emphasizes contracting and corporate governance and requires on‑site work.

The ideal candidate has a JD, U.S. Bar admission, and 4–6 years of relevant experience, with strong Microsoft 365 and AI tool proficiency to drive efficiency.

Qualifications

• Juris Doctor (JD) from an accredited law school is required.
• Active membership in good standing with at least one U.S. State Bar is required.
• 4–6 years of relevant legal experience in a law firm and/or in‑house legal role.
• Demonstrated experience with contract drafting, review, and negotiation.
• Experience supporting corporate governance activities, including entity management and internal governance matters.
• Exposure to restructuring, insolvency, fiduciary, or court‑mandated matters is preferred.
• Experience at AmLaw 100/200 firm or in‑house at a professional services/advisory firm is strongly preferred.
• Strong proficiency with Microsoft 365 and familiarity with AI tools and legal tech platforms is strongly preferred.

Responsabilités

• Aid the General Counsel with contract drafting, review, and negotiation across client engagements and vendor agreements.
• Support corporate governance activities, including entity management and board matters.
• Provide guidance on a wide range of legal issues including employment, operations, and regulatory matters.
• Assist with litigation, investigations, and coordination with outside counsel.
• Conduct legal research and prepare concise analyses for executive audiences.
• Collaborate with cross‑functional teams across the organization.
