The successful candidate will support regional and national clients across public and private offerings, securities compliance, and corporate governance. Duties:

• Draft and review offering documents for public securities offerings (Forms S-1, S-3, S-4) and private placements
• Prepare and analyze SEC filings, including Forms 8-K, 10-Q, 10-K, and registration statements
• Coordinate and file Section 16 reports, 10b5-1 plans, and proxy statements
• Support corporate clients with governance policies (charters, guidelines, insider trading policies)
• Assist with annual shareholder meetings
• Provide securities law support on mergers, acquisitions, and investments
• Prepare board materials and record minutes
• Collaborate across offices to manage workflows and client expectations

Requirements:

• 3-5 years of relevant experience in capital markets and securities regulation
• Ability to handle complex transactional and compliance work independently
• Proficiency in federal securities laws and exchange standards
• Excellent organizational skills and ability to manage priorities
• Strong communication skills with attention to detail
• Licensed and in good standing to practice law in Colorado

Education:

Juris Doctor (J.D.) from an accredited law school
