Job summary

Advanced Micro Devices, Inc. is seeking a Strategic Transactions Paralegal to support the M&A function within the Corporate & Securities Legal team, focusing on strategic transactions and integration. You will manage deal checklists, data rooms, closing activities, and post-closing deliverables.

You will work with internal stakeholders and outside counsel to ensure timely, accurate, and compliant transaction processes, including regulatory filings and entity document preparation.

THE ROLE:

AMD is seeking a Strategic Transactions Paralegal to support the M&A function with in the Corporate & Securities Legal team, with a primary focus on strategic transactions and integration. The role supports transaction documentation administration, corporate governance and regulatory compliance, and post-closing integration. Working closely with internal stakeholders and outside counsel, the Strategic Transactions Paralegal helps ensure transactions and related legal processes are completed accurately, efficiently, and in compliance with applicable requirements.

You are a highly organized, detail-oriented professional who demonstrates integrity, sound judgment, critical thinking, and strong project and time management skills. You communicate clearly, collaborate effectively, improve processes, and move work forward with urgency while protecting AMD’s interests.

KEY RESPONSIBILITIES:

• Support M&A transactions, joint ventures, minority investments, acquihires, and other strategic transactions by maintaining deal checklists and data rooms, coordinating execution packages and closing activities, and tracking post-closing deliverables.
• Support strategic projects by coordinating meetings, preparing agendas, distributing documents, and tracking action items.
• Route, track, and maintain transaction documents.
• Draft, review, negotiate routine agreements with supervision.
• Work closely with the Subsidiary Governance team to prepare corporate entity documents and related filings for acquired entities.
• Assist with regulatory filings, including CFIUS, HSR, other merger-control and antitrust filings, and foreign direct investment filings, and help facilitate transaction approval processes.
• Manage multiple projects independently and under the general supervision of an attorney; meet deadlines and produce quality deliverables.
• Support internal and external audits, compliance reviews, risk management initiatives, and related documentation requirements.
• Prepare materials for executive review of transaction structures and risks.
• Coordinate with stakeholders across AMD, including Accounting, Treasury, Tax, Human Resources, Privacy, IP, Stock Administration, IT, Corporate Development, Real Estate, Investor Relations, and Corporate Communications.
• Identify and implement improvements to legal, compliance, contract management, and transaction support processes.
• Monitor regulatory changes and communicate key updates.
• Coordinate with outside counsel to help ensure transaction deadlines are met.
• Support other corporate matters as needed.

PREFERRED QUALIFICATIONS:

• Demonstrated corporate paralegal experience supporting M&A transactions, joint ventures, minority investments, acquihires, and other strategic transactions.
• Significant experience with due diligence, corporate governance, compliance, or post-closing integration.
• Exceptional attention to detail.
• Strong understanding of legal terminology, contract administration, and regulatory compliance.
• Excellent analytical, problem-solving, organizational, and project management skills, with the ability to manage multiple priorities.
• Strong written, verbal, and interpersonal communication skills, with the ability to collaborate effectively with internal stakeholders and external partners.
• A commissioned notary public would be an asset.

ACADEMIC CREDENTIALS:

• Bachelor’s degree, equivalent practical experience, or paralegal certification.
