Job summary

American Operator is seeking a highly organized Senior M&A Paralegal to manage acquisitions from diligence through closing. You will coordinate with legal, investments, finance, HR, and operating teams to keep timelines and stakeholders aligned.

The ideal candidate has 8+ years in corporate/M&A paralegal roles, with experience in high-paced environments and strong project management. This role reports to the General Counsel and offers comprehensive benefits.

Qualifications

• 8+ years of corporate/M&A paralegal experience; paralegal certification required.
• Experience in corporate/M&A practice at a leading mid-size or large law firm or in-house.
• Ability to design and implement end-to-end processes including software implementation and stakeholder buy-in.
• Experience managing M&A transactions from diligence through closing with multiple concurrent workstreams.
• Strong understanding of transaction mechanics, diligence, closing requirements and filings.
• Exceptional project management and organizational skills across cross-functional teams.
• Excellent written and verbal communication translating legal requirements to non-legal stakeholders.
• High attention to detail and sound judgment in fast-paced environments.

Responsibilities

• Own transaction project management for acquisitions, building deal timelines and tracking dependencies.
• Manage the due diligence process, data rooms, requests, and diligence items.
• Own closing logistics, including signatures, packets, and final closing binders.
• Draft, review, and coordinate NDAs, disclosures, consents, and ancillary agreements.
• Coordinate regulatory and corporate requirements, including UCC searches and filings.
• Serve as central point across legal, investments, finance, HR, and operations.
• Provide concise executive updates and detailed trackers communicating status and risks.
• Manage post-closing workstreams and transition items across deals.
• Maintain organized transaction records, templates, and documentation.
• Identify opportunities to improve transaction processes and workflows.
