Job summary

Embedded Shishya is seeking a Manager to lead ethics and compliance pre-close due diligence and post-close integration for global M&A deals, and to serve as the LATAM Ethics & Compliance business partner (excluding Brazil).

You will collaborate with Business Development, Legal, Regulatory teams and oversee third-party vendors as needed to conduct activities in support of transactions and compliance objectives.

Qualifications

• Ethics, compliance and/or legal experience in healthcare or pharma context.
• Knowledge of foreign healthcare fraud and abuse laws and data privacy.
• Experience with third-party oversight, investigations, and regulatory reporting.
• International experience and Spanish/English fluency required.

Responsibilities

• Manages and conducts the ethics & compliance due diligence for global acquisitions and investments.
• Prepares ethics & compliance due diligence written assessment with risk-ranked observations and remediation plans.
• Participates in regular internal and external deal meetings (underwriters, subject company).
• Oversees engagement and budget for third parties such as law firms, consultants, auditors.
• Facilitate implementation of pre- and post-closing remediation actions and track progress.
• Prepares reports/presentations for executive management.
• Reviews draft transactional agreements to advise on indemnification, reps, warranties, covenants, and closing conditions.
• Notifies EC team of closed acquisitions and investments to enable post-close plans.
• Analyzes new regulatory and legal compliance requirements and impact on deals.
