Job summary

LeoForce in Seattle, WA is seeking a Corporate Associate / Counsel with 5–9 years of corporate and transactional experience to lead and support mergers and acquisitions, financing transactions, and general business counseling.

You will work closely with senior attorneys and take ownership of core components of deals and client relationships, with mentoring duties and a steady pipeline of sophisticated work.

Qualifications

• 5–9 years of corporate and transactional experience
• Experience with mergers and acquisitions and/or financing transactions
• Background advising on corporate governance and general business matters
• Prior experience in a law firm or comparable professional setting
• Active bar admission in good standing

Responsibilities

• Lead and support mergers and acquisitions, financing transactions, and general commercial matters
• Draft, review, and negotiate a wide range of corporate documents, including purchase agreements, operating agreements, and commercial contracts
• Advise clients on corporate governance, entity structure, and compliance matters
• Assist with entity formation, restructuring, and ongoing maintenance
• Provide day‑to‑day counseling to clients across various stages of growth
• Work directly with senior attorneys and clients on transaction strategy and execution
• Supervise and mentor junior team members as needed
• Manage multiple matters simultaneously in a deadline‑driven environment
