Job summary

LeoForce in Philadelphia, PA, is seeking a Corporate Associate with 4–6 years of transactional experience to join its Corporate & Securities practice. The role focuses on mergers and acquisitions and advising businesses on a broad range of corporate matters from inception through closing.

You will handle complex transactions, supervise junior attorneys, draft and negotiate agreements, and build strong client relationships while delivering practical legal solutions in a fast-paced environment.

Qualifications

• 4–6 years of transactional experience, preferably in private practice.
• Strong background in mergers and acquisitions and advising on corporate matters.
• Excellent drafting, negotiation, and analytical skills in a fast-paced setting.

Responsibilities

• Represent clients in mergers, acquisitions, asset and equity sales and other strategic transactions.
• Advise private companies on day-to-day corporate matters and operations.
• Assist with entity formation, governance, and general business counseling.
• Support private equity investments and portfolio company transactions.
• Structure and negotiate joint ventures and debt/equity financings.
• Draft, review, and negotiate purchase agreements and related documents.
• Oversee due diligence, timelines, and closing processes; supervise junior attorneys.
