Koley Jessen P.C., L.L.O. seeks an experienced Mergers & Acquisitions Attorney (2–8 years) to lead significant corporate transactions for clients nationwide. You will manage workstreams, advise on deal structure, and mentor junior attorneys in a fast-paced, collaborative environment.

The role emphasizes independent responsibility, client engagement, and leadership within deal teams, with strong emphasis on end-to-end transaction execution from inception through closing.

Qualifications

• 2–8 years of meaningful corporate transaction experience.
• Admission to practice law in Nebraska, or eligible for admission.
• Experience drafting and negotiating complex transactional documents.
• Ability to lead due diligence processes and coordinate with specialists.
• Strong negotiation skills and the ability to advocate for client interests at the deal table.
• Ability to identify, analyze, and communicate legal and business risks.
• Strong analytical skills and ability to manage competing priorities in a fast-paced environment.
• Proactive, solutions-oriented approach to complex transactions.

Responsibilities

• Independently manage significant workstreams across all phases of M&A and investment transactions.
• Lead due diligence efforts by directing review teams and coordinating with specialists.
• Draft and negotiate complex definitive transaction documents with high professional judgment.
• Advise clients on deal structure, risk allocation, and strategy throughout the lifecycle.
• Collaborate with clients and senior attorneys to develop transaction strategies.
• Analyze legal, regulatory, and competitive considerations across industries.
• Mentor and supervise junior associates, delegating tasks and guiding work quality.
• Manage multiple transactions, balancing priorities and ensuring timely execution.
