Job summary

Larson Maddox is seeking M&A Associates to join our growing corporate practice across multiple U.S. markets.

This role offers the chance to work on sophisticated transactional matters, gain meaningful client exposure, and take on increasing responsibility in a collaborative, entrepreneurial environment. Responsibilities include representing buyers and sellers, drafting and negotiating documents, coordinating due diligence, and advising on deal structures across industries.

Qualifications

• J.D. from an accredited law school.
• Active bar admission in at least one U.S. jurisdiction.
• 3+ years of corporate transactional experience, preferably at a law firm.
• Experience handling mergers and acquisitions, private equity transactions, business combinations, joint ventures, or other sophisticated corporate transactions.
• Strong drafting, negotiation, analytical, and communication skills.
• Ability to manage multiple matters in a fast-paced environment.

Responsibilities

• Represent private companies, investors, private equity sponsors, and strategic buyers in a wide range of corporate transactions.
• Draft, review, and negotiate transaction documents, including purchase agreements, ancillary agreements, and related corporate documents.
• Manage and coordinate due diligence processes.
• Advise clients on mergers, acquisitions, divestitures, joint ventures, financings, and general corporate matters.
• Support deal execution from letter of intent through closing.
• Work directly with partners and clients across a variety of industries on complex transactional matters.
