Koley Jessen, L.L.O. invites applications for a Mergers & Acquisitions Associate Attorney (0–2 years) to join our corporate practice in Omaha.

This entry-level role provides hands-on mentorship and exposure to sophisticated nationwide transactions under experienced partners. You will support deal teams in due diligence, document drafting, and closing, with growth into greater responsibility as you learn and contribute in a fast-paced environment.

Qualifications

• 0–2 years of legal experience; clerkship, internship, or fellowship involving corporate transactions is a plus.
• Admission to practice law in Nebraska, or current eligibility for admission
• J.D. from an ABA-accredited law school with a strong academic record
• Ability to clearly and concisely communicate complex legal concepts in written and oral form
• Strong work ethic, attention to detail, and a proactive approach to learning and professional growth
• Effective analytical skills and ability to work collaboratively in a fast-paced team environment
• Enthusiasm for development and building a long-term career in transactional law

Responsibilities

• Support senior attorneys in all phases of M&A and investment transactions, including structuring, due diligence, negotiation, drafting, execution, closing, and post-closing integration
• Conduct legal due diligence reviews and summarize findings for deal teams
• Prepare initial drafts of transactional documents—purchase agreements, disclosure schedules, and ancillary agreements
• Perform legal research on regulatory, corporate governance, and antitrust considerations
• Analyze legal and business risks and prepare research memoranda for supervising attorneys
• Work collaboratively as part of a high-performing deal team with increasing responsibility
