Job summary

Talent With Heart seeks a highly capable Associate Attorney for its Mergers & Acquisitions and Corporate Finance practice in Atlanta. Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Georgia Bar in good standing.
• 4–6 years of substantive experience in mergers and acquisitions and complex corporate transactions.
• Experience advising on complex M&A and corporate finance matters.
• Strong experience managing private equity transactions and private-target M&A.
• Proven ability to manage complex deal timelines and coordinate with junior team members.
• Experience drafting and negotiating equity and asset purchase agreements.
• Extensive experience conducting legal due diligence.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, with focus on private equity deals.
• Manage all phases of M&A transactions: structuring, diligence, drafting, negotiation, closing.
• Draft and negotiate purchase agreements and related transaction documents.
• Lead and coordinate legal due diligence efforts and supervise junior attorneys.
• Serve as a primary contact for clients and external advisors throughout the lifecycle of a deal.
• Collaborate across corporate, tax, finance, and regulatory disciplines to deliver integrated solutions.
