Orion Placement in New York, NY is seeking a seasoned Chief Legal Officer or Head of Legal to build and lead the company’s legal function from the ground up. You will own enterprise commercial transactions, negotiate MSAs and DPAs, and work directly with senior leadership on strategy, privacy, governance, and growth.

Qualifications

• J.D. and active admission to a U.S. state bar.
• 6+ years of legal experience.
• 3+ years of directly relevant commercial transactions experience.
• Experience negotiating enterprise software, SaaS, or technology agreements.

Responsibilities

• Lead commercial contracting from initial draft through negotiation and execution (MSAs, SaaS, DPAs, order forms, security addenda).
• Partner with sales and business leaders to balance risk with commercial velocity.
• Build the company’s legal infrastructure: templates, playbooks, workflows, scalable processes.
• Advise leadership on governance, equity, board support, and financing activities.
• Support privacy, security, and regulatory matters (GDPR, CCPA, SOC 2).
• Provide guidance on employment, vendor, procurement, and operational matters.
