Job summary

Orionplacement is seeking a senior legal professional to draft and negotiate sophisticated technology and commercial agreements from SaaS to IP licensing. You will partner with business and legal teams to resolve issues, manage deadlines, and drive practical solutions in a hybrid Washington, DC setting.

The role requires a DC or VA bar license and 5+ years of relevant experience, with a JD from an accredited law school.

Qualifications

• Active bar license in DC or VA.
• 5+ years of technology and commercial transactions experience.
• J.D. from an accredited law school.
• Strong contract drafting and negotiation skills.
• Experience with software, SaaS, cloud services, technology transactions, IP licensing, or e-commerce.
• Excellent analytical, written, oral communication, and business judgment skills.
• Ability to manage matters independently while collaborating effectively with attorneys, business teams, and clients.
• Permanent authorization to work in the United States.
• Experience with distribution, logistics, government contracts, or international commercial agreements is a plus.

Responsibilities

• Draft and negotiate SaaS, cloud services, software licensing, implementation, platform integration, and professional services agreements.
• Advise on e-commerce platform launches, vendor onboarding, commercial terms, payment processing, merchant services, and platform compliance.
• Handle technology and IP licensing, commercialization transactions, and strategic partnership agreements.
• Prepare and negotiate data processing agreements and advise on privacy, data security, and related risk allocation.
• Review and negotiate distribution, logistics, supply chain, and other commercial agreements.
• Improve contract templates, standard terms, and contracting playbooks to streamline sales and procurement processes.
• Partner with business and legal teams to resolve issues, provide practical advice, and keep transactions moving.
• Exercise sound business judgment in fast-moving situations where practical solutions matter.
• Take ownership of matters and deadlines while contributing effectively to a collaborative team.
