Basis is seeking its first in-house Legal Counsel to build the legal foundation for growth in a fast-paced, high-ownership environment. You will own contracting, governance, and fundraising activities, collaborating with leadership across Finance, Sales, People, and Operations.

You will develop templates, playbooks, and scalable processes while advising on strategic partnerships and daily legal matters. You’ll contribute to cap table management, equity administration, and board preparations,

Qualifikationen

• 2–5 years of corporate/commercial law experience at a leading law firm.
• 2+ years in-house at a tech company or startup.
• J.D. from a top law school; US state bar admission in good standing.
• Experience reviewing, drafting, and negotiating commercial agreements including SaaS contracts, vendor agreements, NDAs, data-processing terms, and strategic partnerships.
• Strong grounding in corporate law including governance, capitalization, equity matters, board processes, and financing transactions.
• Excellent judgment and the ability to distinguish meaningful legal or business risks from issues that should not slow the company down.
• Clear, precise writing and the ability to explain complex legal questions in practical business terms.
• Hands-on approach: comfortable doing work yourself, building processes from scratch, and operating without a large legal team.
• Intellectual curiosity and the ability to learn unfamiliar products, technologies, and areas of law quickly.

Aufgaben

• Manage day-to-day contracting needs: reviewing, drafting, and negotiating customer and vendor agreements.
• Develop templates and playbooks; strengthen approval and escalation processes.
• Track ongoing obligations and improve contract-management systems.
• Advise on corporate governance, cap table management, board and stockholder approvals, equity administration, and fundraising.
• Support strategic partnerships and business arrangements outside established playbooks.
• Collaborate with People team on employment agreements, policies, employee relations, compensation, and equity questions.
