Job summary

Solutus Legal Search is seeking a Director, Assistant General Counsel, Corporate for a high-growth commercial orbital launch company. The role reports to the General Counsel and leads the corporate legal function from corporate governance to investor relations, equity planning, and major commercial agreements.

This on-site position is based in Long Beach, CA or Washington, DC. You will influence capital markets strategies, structure acquisitions, and help scale a nimble, collaborative legal team

Qualifications

• 7+ years post-JD experience, including 4+ years at a law firm.
• Strong background in capital markets and financing, corporate governance and securities law.
• Ability to lead novel, high-stakes negotiations and develop scalable processes.

Responsibilities

• Advise on capital markets and financing strategies and manage due diligence and closing.
• Advise on board governance, committee structures, stockholder relations and regulatory compliance.
• Provide guidance on securities law implications, corporate structuring, and investor relations.
• Lead M&A activities and supervise corporate records, governance filings, and equity plan administration.
• Review and negotiate significant commercial agreements with strategic/financial impact.
