Cognizant is seeking an experienced Mergers and Acquisitions Attorney to lead deal activity within the Corporate Development group, focusing on U.S. transactions and international work. You will structure, diligence, negotiate, and close transactions while coordinating with tax, finance, HR, IP, and compliance teams.

You will manage integration planning, liaise with external counsel, and provide strategic legal guidance to internal stakeholders, driving value across the deal lifecycle.

Formación

• Five+ years of mergers and acquisitions experience.
• Undergraduate degree and J.D. from recognized institutions.
• Top law firm and/or in-house M&A experience in US and cross-border transactions.
• Diverse and complex M&A transactional background with end-to-end process understanding.
• Strong project-management and coordination abilities.
• Excellent written and oral communication skills.

Responsabilidades

• Draft and negotiate definitive transaction documents (S&PA, disclosures, reps, letters of intent, NDAs).
• Lead M&A deal efforts including structuring, due diligence, documentation, signing and closing.
• Summarize due diligence findings for Corporate Development and Investment Committee.
• Collaborate with tax, finance, HR, IP, compliance, privacy, IT, and security teams.
• Support integration planning and execution for acquired businesses.
• Coordinate with outside M&A counsel and provide strategic legal counsel.
