Job summary

Cognizant is seeking an experienced Mergers and Acquisitions Attorney to join the M&A legal group, supporting Corporate Development with a focus on U.S. transactions and oversight of international deals.

You will lead deal structuring, due diligence, documentation, signing, closing, and integration. You will collaborate with tax, finance, HR, IP, and compliance teams, manage external counsel, and guide cross-functional projects from inception through integration while upholding Cognizant's

Qualifications

• Five+ years of mergers and acquisitions experience.
• Undergraduate degree and J.D. from recognized institutions.
• Top law firm experience in US/public and private M&A across borders.
• Diverse and complex M&A transactional experience across settings.
• Deep understanding of end-to-end M&A from inception to integration.
• Strong project management with attention to detail and cross-functional coordination.
• Ability to work independently and as part of a team.

Responsibilities

• Draft and negotiate definitive transaction documents (SPAs, disclosures, RWI documents, LOIs, NDAs).
• Lead M&A deal attorney, advising on structuring, due diligence, documentation, signing and closing.
• Perform target company due diligence and summarize findings for Corporate Development and Investment Committee.
• Collaborate with tax, finance, HR, IP, contracting, ethics, privacy, IT and security teams.
• Support integration planning for acquired businesses.
