Job summary

Cognizant is seeking an experienced Mergers and Acquisitions Attorney to be a key member of the M&A legal group, supporting Corporate Development with emphasis on U.S. transactions and handling international matters.

You will lead deal structuring, due diligence, documentation, signing, closing, and integration. You will draft definitive transaction documents, oversee cross-functional collaboration, and provide strategic legal guidance to internal stakeholders while upholding Cognizant’s values

Qualifications

• Minimum five years of mergers and acquisitions experience.
• Undergraduate degree and J.D. from recognized institutions.
• Top law firm experience in US and cross-border M&A.
• Diverse and complex M&A transactional experience.
• End-to-end M&A process knowledge from inception to integration.
• Strong project-management and detail-orientation.

Responsibilities

• Draft and negotiate definitive transaction documents (S&PA, LOIs, disclosures, reps & warranties insurance docs, confidentiality agreements).
• Lead M&A deal attorney, overseeing structuring, due diligence, documentation, signing, and closing.
• Conduct due diligence and summarize findings for Corporate Development and Investment Committee.
• Collaborate with tax, finance, HR, IP, commercial, ethics/compliance, privacy, IT, and security teams.
• Support integration planning and execution for acquired businesses.
• Coordinate and oversee outside M&A counsel.Provide legal advice on Corporate Development and Cognizant’s M&A activities.
