Job summary

Cognizant is seeking an accomplished Mergers and Acquisitions Attorney to join the Corporate Development team. You will serve as the lead M&A deal attorney, guiding transactions from structuring and due diligence through closing and integration.

In this remote role, you will handle U.S. and international transactions, collaborate with tax, finance, HR, IP, and compliance teams, and oversee outside counsel.

Qualifications

• At least five years of experience in mergers and acquisitions.
• Undergraduate and J.D. degrees from well-recognized institutions.
• Top law firm experience focused on public and private mergers and acquisitions in the United States and across borders.
• Diverse and complex M&A transactional experience with end-to-end process understanding.
• Strong project-management skills and attention to detail.

Responsibilities

• Draft and negotiate definitive transaction documents, including sale and purchase agreements and letters of intent.
• Serve as the lead M&A deal attorney with transaction structuring, due diligence, documentation, signing, and closing.
• Conduct legal due diligence and summarize key findings for decision-makers.
• Collaborate with tax, finance, HR, IP, and compliance specialists.
• Support integration plans for acquired businesses.
• Coordinate and oversee outside M&A counsel.
• Provide legal advice on Corporate Development and Cognizant M&A activities.
