Anthropic, a leading AI safety company in San Francisco, seeks an experienced Corporate Counsel, M&A to lead strategic transactions from diligence through integration. You will collaborate with Legal, Corporate Development, Finance, and executives to execute deals that advance Anthropic's mission.

The role requires drafting and negotiating purchase agreements, managing due diligence, and building playbooks to scale M&A activity.

Qualifications

• JD or equivalent required with active bar admission.
• Experience drafting M&A agreements and LOIs.
• Strong understanding of deal structures (asset/stock purchases, mergers).

Responsabilités

• Lead M&A workstreams from due diligence to closing.
• Draft and negotiate purchase agreements and related documents.
• Coordinate due diligence with cross-functional teams.
• Provide deal-structuring and risk mitigation counsel.
• Prepare materials for executives and board on transactions.
• Manage outside counsel relationships and budgets.
• Oversee post-closing integration activities.
• Develop standardized M&A processes and templates.
• Support other corporate matters as needed.
