Overview

• The practice advises strategic private company buyers and sellers, private equity, venture capital and other investors, and emerging companies and founders on corporate matters across middle market, technology, and startup ecosystems.
• Associates advise on middle-market M&A, including platform acquisitions, sale processes, add-on acquisitions, joint ventures, and other strategic transactions.
• Associates also advise on emerging company and venture capital transactional matters, including venture financings (seed, Series A, and later-stage equity financings), entity formation, and day-to-day legal matters throughout the company lifecycle.
• Corporate governance and counseling for private companies, their boards, private equity portfolio companies, emerging growth companies, and founders is a key responsibility.
• The role involves assisting with transaction structuring, due diligence, negotiation, and closing processes, as well as drafting and negotiating a range of transaction documents, including financing documents, purchase agreements, governance materials, and ancillary agreements.
• Associates coordinate and manage due diligence workstreams, manage deal timelines and deliverables with clients, and collaborate with attorneys across various practice areas including technology transactions, tax, employee benefits, employment, intellectual property, privacy and security, environmental, and real estate.
• The Corporate practice offers hands-on experience throughout the deal lifecycle, emphasizing collaboration, mentorship, and early responsibility.
