Overview

• The M&A Practice is globally recognized, advising multinational corporations, private equity firms, and banks on complex public and private M&A transactions, divestitures, joint ventures, and other business combinations, encompassing strategic planning, due diligence, negotiation, and execution.
• The role involves advising privately held and high growth companies, venture capital funds, private equity funds, and corporate strategics on equity financings, mergers, acquisitions, divestitures, joint ventures, and general corporate matters.
• Key duties include advising on and leading drafting efforts for all aspects of mergers, acquisitions, divestitures, private equity transactions, joint ventures, and investments for sophisticated public and private clients.
• Responsibilities also include leading on due diligence and conducting and overseeing legal research.
• Candidates are expected to have experience drafting and negotiating purchase and merger agreements, LLC and LP agreements, and other ancillary transaction documents, as well as managing the day-to-day requirements of private equity fund and portfolio company clients.
• Experience representing buyers, sellers, and financial sponsors in domestic and international mergers, acquisitions, divestitures, equity financings, and joint ventures is required.
• The role requires the ability to run discrete aspects of transactions independently with appropriate supervision.
• The associate will regularly work in large, international, and multidisciplinary teams.
