Job summary

Mariana Minerals is seeking an experienced Intellectual Property Counsel to own the full IP function as the company scales its software-driven mineral tech.

You will manage patents, trade secrets, trademarks, and copyrights, build IP programs, and collaborate with engineers and business teams to align protection with product strategy. Remote-friendly, US-based role with potential travel.

Qualifications

• J.D. from an accredited law school with active bar membership.
• 6+ years IP experience across patents, trade secrets, trademarks, and copyright.
• Experience managing patent prosecution and portfolios with inventors and outside counsel.
• Experience drafting and negotiating IP-related commercial agreements, including licenses & software agreements.
• Technical fluency to engage with engineers on complex processes, hardware, and software.
• Strong drafting, analytical, and communication skills with ability to translate legal issues for non-legal stakeholders.
• Ability to work independently in a fast-moving, resource-constrained environment.
• High ownership and collaboration across the organization.

Responsibilities

• Develop and lead an IP strategy aligned with the technology roadmap and business objectives.
• Build and manage the patent portfolio from invention capture through prosecution.
• Establish a trade secret protection program and guidance on patent vs trade secret.
• Oversee trademark, brand, and domain name portfolios.
• Draft, review, and negotiate IP-related commercial agreements (licenses, partnerships, software agreements).
• Lead IP due diligence for financings, acquisitions, and strategic partnerships.
• Provide general legal support and cross-functional partnership as the company grows.
