Job summary

Reed Smith LLP is seeking an Investment Management Paralegal to support attorneys and the investment management team on corporate, transactional, private investment, and fund-related matters. This early-career role emphasizes building knowledge in investment management and transactional work.

Qualifications

• Bachelor's degree or equivalent with paralegal certification; relevant experience considered
• 1–3 years paralegal experience in transactional, corporate, finance, or related areas preferred
• Experience with investment management or private equity is a plus

Responsibilities

• Support attorneys on investment management and private investment transactions, including fund formations and related matters
• Prepare and maintain corporate and transactional docs, org documents, resolutions, certificates, and closing materials
• Coordinate subscription agreements, investor questionnaires, side letters, transfer docs, and fund-related materials
• Prepare and file securities/regulatory filings (Form D, Blue Sky, SEC) and monitor deadlines
• Handle entity formation, maintenance, and diligence for various corporate forms
• Support transactional closings, including checklists, signature pages, and post-closing materials
