• Coordinate subscription agreements, investor questionnaires, and side letters.
• Prepare securities/filings (Form D, Blue Sky, SEC, UCC) and manage filings deadlines.
• Assist with entity formation and maintenance for various entities.
• Conduct due diligence and prepare summaries for attorney review.
• Coordinate closings, signatures, and delivery of closing materials.
• Review and proofread agreements and closing documents for accuracy.
