The role involves preparing and coordinating subscription agreements, securities filings, due diligence, and closing materials, while maintaining organized records and ensuring deadlines are met.

Qualifications

• Undergraduate degree and paralegal certificate required; will consider comparable relevant experience in lieu of a paralegal certificate.
• Experience in transactional, corporate, finance, or related legal practice preferred/required (1–3 years).
• Familiarity with investment management, private equity, venture capital, hedge funds, or securities filings is a plus.

Responsibilities

• Support attorneys on investment management and private investment transactions, including private fund formations, investments, acquisitions, and related corporate matters.
• Prepare and coordinate securities and regulatory filings, including Form D, Blue Sky, SEC, and other filings; monitor deadlines.
• Manage entity formation and maintenance for corporations, LLCs, LPs, and other entities; maintain organizational records.
