Reed Smith LLP seeks an Investment Management Paralegal to support attorneys and the investment management team on corporate, transactional, private investment, and fund-related matters. This is an early-career opportunity for a paralegal with some relevant experience who is looking to build and expand their knowledge of investment management and transactional matters.

Qualifications

• Undergraduate degree and paralegal certificate required; will consider candidate with comparable relevant experience in lieu of a paralegal certificate.
• 1–3 years of paralegal experience in a transactional, corporate, finance, or related legal practice preferred/required.
• Experience or familiarity with investment management, private equity, venture capital, hedge funds, or M&A is a plus.
• Proficient with Microsoft Office; familiarity with electronic document management systems and other legal technology is a plus.

Responsibilities

• Support attorneys on investment management and private investment transactions, including private fund formations, investments, acquisitions, and related corporate matters.
• Manage the preparation and maintenance of corporate and transactional documentation, including organizational documents, resolutions, certificates, and closing documents.
• Coordinate private fund formations and investment transactions with subscription agreements, investor questionnaires, side letters, and transfer documentation.
• Prepare and coordinate securities and regulatory filings (Form D, Blue Sky, SEC, UCC); submit filings through EDGAR and state systems.
