Job description

A top-tier law firm is seeking a highly qualified Investment Funds Attorney to join its Chicago-based practice. This opportunity is ideal for attorneys with 2–6 years of experience in corporate law, particularly in the formation, structuring, and operation of private investment funds. Location

Duties

1. Advise private fund sponsors on the formation, structuring, and ongoing operation of investment funds
2. Draft and negotiate fund formation documents and related investor agreements
3. Counsel on regulatory and compliance matters impacting private investment vehicles
4. Assist with marketing documentation and private placement memoranda
5. Support fund closings, LP negotiations, and fund governance matters
6. Advise clients on market trends and best practices across private equity and alternative asset classes
7. Collaborate with tax, regulatory, and other internal teams to deliver comprehensive fund structuring advice
8. Engage with sophisticated institutional investors and asset managers across various sectors

Requirements

1. 2–6 years of corporate legal experience, with a focus on investment fund formation and sponsor-side representation
2. Background in a leading national or international law firm
3. Familiarity with private equity, hedge funds, or other alternative investment vehicles
4. Strong experience in fund documentation, regulatory frameworks, and fundraising processes
5. Ability to manage multiple client relationships and prioritize time-sensitive deliverables

Education

1. Juris Doctor (JD) from an accredited U.S. law school
2. Admission to practice law in Illinois or eligibility for waiver/admission

Certifications

No specific certifications required, but industry-related coursework or training in fund structuring is a plus.
