Rippling seeks an Associate General Counsel, Corporate & Securities to build and operate a scalable governance and compliance function for a global company. You will own public-company readiness, governance processes, and cross-functional coordination with finance, accounting, IR, and outside counsel.

The role includes supporting corporate development matters, including acquisitions, financings, and capital markets activity, with hands-on leadership and strategic judgment.

Qualifications

• 10+ years of corporate and securities law experience in regulated industries.
• J.D. or equivalent law degree and admission to practice in at least one US jurisdiction.
• Hands-on experience supporting public-company reporting, governance, and disclosure cycles (Forms 10-Q/10-K/8-K).
• IPO or public-company readiness experience is a major plus, but not required.
• Experience advising on securities, governance, equity compensation, and related-party transactions.
• Experience supporting private financings, tender offers, and capital markets transactions.
• Ability to manage cross-functional processes across legal, finance, accounting, IR, and outside counsel.
• Excellent drafting, analytical, communication, project management, and organizational skills.
• Entrepreneurial, fast-paced, global environment; sense of humor preferred.

Responsabilités

• Help build scalable corporate governance, securities compliance, disclosure readiness, and board processes for a complex global company.
• Develop governance and disclosure infrastructure to support scale and future public-company obligations.
• Prepare and coordinate Board materials, agendas, and committee documents.
• Support audit, governance, and compensation committee processes and related materials.
• Draft and maintain governance documents, policies, and related-party transaction processes.
• Support securities, equity, financing, and capitalization matters, including cap table management.
• Oversee subsidiary governance and international filings and inter-company transactions.
• Review investor presentations, offering materials, and public announcements for securities relevance.
• Partner with corporate development on acquisitions, financings, and governance post-transaction.
