Transamerica in the U.S. seeks a Senior Counsel – Securities to join our Corporate Legal Services team. You will support public company reporting, securities compliance, and capital markets activities, drafting and coordinating SEC disclosures for NYSE listing.

The ideal candidate has significant SEC reporting experience and can collaborate with internal stakeholders to guide governance. Hybrid office environment with three days in the office per week at hub locations (Philadelphia, New York,

Qualifications

• Five years of relevant legal experience advising clients in securities law and SEC reporting/compliance.
• Experience drafting, reviewing, and coordinating SEC filings (10-K, 10-Q, 8-K, proxy statements, earnings releases).
• Licensed to practice in the applicable state; strong communication and judgment in fast-paced environments.

Responsibilities

• Support preparation, review, and filing of SEC filings to ensure compliance with federal securities laws and NYSE listing requirements.
• Review earnings and investor communications materials and prepare related disclosures.
• Monitor developments in securities laws and NYSE requirements; coordinate Section 16 reports and insider trading compliance.
