Job summary

Progress Software Corporation is hiring a Senior Commercial Counsel in a hybrid role split between your home office and our American Fork, Utah office. You will advise leadership on complex commercial transactions, lead negotiating efforts for SaaS and licensing deals, and ensure compliance with revenue recognition and privacy requirements.

The role emphasizes strategic training, cross-functional collaboration, and policy improvements in a fast-paced software environment.

Qualifications

• Must be a qualified attorney admitted in one or more US states with 5+ years in-house experience.
• Extensive software licensing knowledge, including on-premises, SaaS, and hybrid models.
• Experience with complex commercial transactions and revenue recognition rules.
• Strong ability to explain legal issues to non-lawyers and senior leaders.
• Experience with data privacy and security requirements is required.

Responsibilities

• Provide strategic legal support to senior leaders across multiple product lines and platforms.
• Draft, review, and negotiate a wide range of commercial agreements (SaaS, licensing, reseller, services).
• Lead contract benchmarking and template improvements to speed negotiations.
• Collaborate with Revenue Ops, IT, and Product teams to enable deals while managing risk.
