Job summary

DLA Piper is seeking a mid to senior-level corporate associate to join our capital markets group. This role focuses on public company reporting and governance, capital markets, and advisory work for issuers and underwriters across life sciences, technology, and digital assets sectors.

The position supports a national practice in a large firm and is open to all US locations, with a hybrid work model combining in-office and remote work.

Qualifications

• JD from an accredited law school and admitted to practice in the applicable state.
• Minimum 4 years of public company and capital markets experience.
• Strong knowledge of the Securities Act of 1933, the Exchange Act of 1934, and listing standards.
• Experience working with issuers and underwriters on complex offerings and providing disclosure advice.
• Experience at an AmLaw 100 firm preferred.

Responsibilities

• Conduct thorough legal research to support transaction preparation and strategy.
• Draft memos, contracts, and correspondence detailing transaction specifics and compliance.
• Assist/manage complex transactions from inception to closing with sound judgement.
• Maintain client relationships with timely updates and professional conduct.
• Collaborate with lawyers and business professionals to develop innovative transaction strategies.
• Attend client calls, meetings, and negotiations to support deal execution.
• Ensure rigorous compliance with laws and regulations and stay current on precedents.
• Engage in ongoing professional development to enhance legal knowledge and leadership skills.
• Support firm citizenship and pro bono initiatives as part of a well-rounded practice.
