Job summary

DLA Piper is seeking a mid to senior-level corporate associate to join our capital markets group. This associate will practice in public company reporting and compliance, corporate governance, and capital markets, working with issuers and underwriters on complex offerings.

Open to all US locations, this role sits within a dynamic securities practice focused on life sciences, technology, and digital assets for innovative issuers and underwriters.

Qualifications

• JD from an accredited law school.
• Minimum 4 years of public company and capital markets experience.
• Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934, Nasdaq/NYSE governance requirements.
• Experience working with issuers and underwriters on complex securities offerings.

Responsibilities

• Conduct thorough legal research to support transaction preparation and strategy.
• Draft legal documents including memos, contracts, and correspondence with high accuracy.
• Assist/manage complex transactions from inception to closing with professional judgement.
• Maintain strong internal and external client relationships with timely updates and professional communication.
• Collaborate with lawyers and business professionals to develop innovative transaction strategies.
• Attend client calls and meetings to support negotiations and deal execution.
• Ensure rigorous compliance with applicable laws and firm policies.
• Pursue ongoing professional development and contribute to firm citizenship.
