Job summary

DLA Piper is seeking a mid to senior-level corporate associate for our national capital markets group. The role focuses on public company reporting, compliance, governance, and working with issuers, underwriters, and financial intermediaries on complex securities offerings.

Open to all US locations, this position supports the firm’s securities practice across life sciences, technology, and digital assets sectors, with a strong emphasis on governance and regulatory compliance.

Qualifications

• JD from an accredited law school and bar admission in the practicing state.
• Minimum 4 years of public company and capital markets experience.
• Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934, plus listing/governance requirements.
• Experience advising issuers and underwriters in complex securities offerings.

Responsibilities

• Conduct thorough legal research to support transaction strategy.
• Draft well-written memos, contracts, and correspondence with precision.
• Assist/manage complex transactions from inception to closing; coordinate negotiations.
• Interact with clients and internal teams to provide timely advice and updates.
• Collaborate with lawyers and business professionals to develop transaction strategies.
• Attend client calls and meetings; participate in high-level negotiations.
• Stay updated on changes in securities law and regulatory developments.
