Geode Capital Management in Boston seeks a Proxy Operations Manager to oversee end-to-end proxy voting for domestic and international holdings. You will coordinate with custodians, proxy service providers, and internal stakeholders to ensure timely, compliant vote execution across global markets.

The role requires strong vendor oversight, ballot reconciliation, risk management, and leadership of proxy operations staff.

Qualifications

• Bachelor's degree in Finance, Business Administration, Accounting, Economics, or related field is required.
• 8+ years of proxy voting operations, custody or investment operations experience.
• Deep understanding of proxy voting workflows within an asset management setting.
• Experience with ISS Proxy Exchange and Broadridge proxy processing platforms.
• Knowledge of global custodial networks and proxy voting practices.
• Experience in reconciliation, ballot processing and exception management.
• Regulatory requirements governing proxy voting and fiduciary oversight.

Responsabilités

• Oversee end-to-end proxy voting process for domestic and international holdings across client accounts and investment vehicles.
• Monitor proxy events, ballot distribution, and vote instructions to meet deadlines.
• Manage ballot reconciliation and voting records entitlements.
• Resolve vote execution exceptions and operational issues.
• Lead and develop proxy operations staff; drive accountability and continuous improvement.
• Coordinate proxy voting for complex events (share blocking, re-registration, POA).
• Own proxy voting platforms and vendor relationships (ISS, Broadridge, custodians).
• Maintain control environment for vote execution, reconciliation, and recordkeeping.
• Support proxy voting policies, procedures, and operational controls.
• Lead SEC Form N-PX preparation, data validation, and regulatory coordination.
• Develop governance frameworks, reporting, metrics, and risk indicators.
• Support regulatory exams, audits, and client due diligence on proxy operations.
• Lead readiness for new fund launches (custodian setup, testing, controls).
• Serve as SME to drive efficiency, automation, scalability, and risk mitigation.
