gpac is seeking a Corporate Transactional M&A Attorney in North Carolina to join a growing firm. The role offers hands-on deal experience, mentorship, and exposure to sophisticated middle-market transactions.

The ideal candidate has 4+ years of corporate transactional experience with a focus on M&A, a JD from an accredited law school, and a NC license. You will lead transactions from inception through closing and collaborate with tax, finance, and executive teams.

Qualifications

• 4+ years of corporate transactional experience with a focus on M&A.
• Juris Doctor (JD) from an accredited law school.
• Strong drafting and negotiation skills.
• Ability to manage transactions with increasing independence.
• Excellent analytical, problem‑solving, and client‑facing skills.
• Active North Carolina license required.

Responsabilités

• Structure mergers, acquisitions, divestitures, and joint ventures.
• Lead transactions from initial negotiations through closing.
• Conduct and oversee legal due diligence.
• Draft, review, and negotiate complex transaction documents, including asset and stock purchase agreements.
• Coordinate with tax, finance, and executive teams to ensure strategic and regulatory compliance.
• Identify and manage risk throughout the transaction process.
• Ensure compliance with applicable laws and regulations.
• Deliver high‑quality client service under tight deadlines.
