Ascendion seeks an Associate Attorney with a strong M&A background to join a Raleigh/Durham law firm. The role targets 5+ years of experience, offering work on complex mergers, divestitures, and private equity transactions within a collaborative team.

Responsibilities include drafting and negotiating transaction documents, due diligence, and providing strategic legal advice throughout deal cycles. Licensed NC attorney and JD required.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Active license and good standing with the North Carolina State Bar.
• 5+ years of relevant legal experience in mergers and acquisitions and corporate transactions.
• Experience drafting and negotiating complex transactional documents.
• Strong analytical, communication, negotiation, and client-management skills.

Responsibilities

• Advise clients on mergers, acquisitions, divestitures, and other corporate transactions.
• Draft, review, and negotiate transaction documents, purchase agreements, and related legal instruments.
• Conduct and oversee due diligence and identify transaction-related legal and business risks.
• Support deal structuring, negotiations, and transaction closings.
• Work with clients, opposing counsel, financial advisors, and other professionals to facilitate successful transactions.
• Provide strategic, business-oriented legal advice throughout the transaction lifecycle.

Salary and Other Compensation:

The annual salary for this position is between $140,000 – $170,000 Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
