Job summary

Orion Placement in Raleigh/Durham, NC is seeking an experienced corporate transactional attorney to lead private M&A and related agreements. You will structure, draft, negotiate, and close sophisticated transactions while coordinating with clients and the firm’s corporate team.

Requirements include active North Carolina Bar membership and 4+ years of direct corporate transactional experience. Strong drafting, negotiation, and client management skills are essential, along with a business‑minded

Qualifications

  • Active North Carolina Bar license in good standing.
  • 4+ years of directly relevant corporate transactional experience.
  • Strong experience drafting and negotiating sophisticated corporate and commercial agreements.

Responsibilities

  • Lead and support private buy side and sell side M&A transactions from initial structuring through closing.
  • Draft, review, and negotiate purchase agreements, operating agreements, commercial contracts, loan documents, disclosure schedules, private placement materials, and related transaction documents.
  • Advise clients on corporate structuring, transaction strategy, execution, governance, and other business law matters.
  • Manage transaction processes, due diligence, documentation, timelines, and closing requirements.
  • Communicate directly with clients, opposing counsel, advisors, and other transaction participants.
  • Collaborate with partners, senior attorneys, and other practice groups to deliver coordinated solutions for complex client matters.
  • Balance multiple active transactions while maintaining strong attention to detail, responsiveness, and client service.

Pay: $140,000.00 - $200,000.00 per year

Location:

Note:

Candidates must be active members in good standing of the North Carolina State Bar and have 4+ years of corporate transactional experience. Meaningful experience with M&A, transaction documents, contract drafting and negotiation, and client management is strongly valued.

  • Ability to independently manage substantial responsibilities while collaborating effectively with a broader legal team.
