Job summary

Fourscore Business Law in Raleigh, NC, seeks a Corporate Attorney with 4+ years of M&A experience to advise founder-led businesses on corporate, transactional, and strategic matters. You will handle buy-side and sell-side deals, governance, and ongoing general counsel work while building long-term client relationships.

The role combines practicing law with managing complex projects, coordinating resources, and driving execution from strategy through closing in a growing firm.

Qualifications

• JD from an accredited law school.
• Active license to practice law in North Carolina.
• 4+ years of meaningful M&A experience with primary responsibility for transactions.
• Experience representing both buy-side and sell-side deals.
• Strong drafting, negotiation, and project-management skills.
• Ability to manage multiple matters and deadlines with minimal oversight.
• Excellent communication with business-owner clients.

Responsibilities

• Counsel clients on entity formation, governance, corporate maintenance, and business operations
• Draft, review, and negotiate transaction documents, including asset and stock purchase agreements, disclosure schedules, and ancillary agreements
• Coordinate with opposing counsel, lenders, accountants, investment bankers, and internal team members to move transactions forward efficiently
• Advise business owners on deal structure, risk allocation, and post-closing considerations
• Provide ongoing general corporate counsel to closely held businesses
• Coordinate and oversee deal execution from strategy through closing
• Manage client matters and ensure deadlines, deliverables, and client expectations are met
• Oversee project management for legal matters
• Build and maintain strong client relationships with proactive communication
• Work closely with the founder/lead attorney to manage priorities and drive growth
