Corporate Associate Attorney
Position Overview
We are seeking a Corporate Associate Attorney to join our corporate practice team and support domestic and international transactional matters. The successful candidate will work on a broad range of corporate and commercial matters including M&A, corporate governance, entity structuring, commercial agreements, financing transactions and due diligence. This role requires strong drafting and negotiation skills, commercial judgment, and the ability to manage multiple matters, collaborate with cross-border teams, and provide clear, practical advice to clients.
Key Responsibilities
- Work on corporate transactions including mergers & acquisitions, joint ventures, asset and stock purchases, and restructurings.
- Draft, review and negotiate commercial agreements, financing documents, shareholder and investor agreements, and other transactional documents.
- Lead and conduct comprehensive legal due diligence, identify key risks and prepare diligence reports and disclosure schedules.
- Advise clients on corporate governance, board and shareholder matters, compliance and ongoing corporate maintenance.
- Develop and implement corporate structuring strategies for domestic and international operations in coordination with tax and regulatory specialists.
- Coordinate and manage transaction closings, including preparation of closing checklists, documents and post-closing integration steps.
- Collaborate with cross-border teams and external counsel to address jurisdictional issues and ensure cohesive transactional execution.
- Provide practical, business-focused legal advice to clients, translating legal risk into actionable recommendations.
- Supervise and mentor junior associates, paralegals and support staff, and contribute to team training and knowledge sharing.
- Maintain strong client relationships, support business development efforts and participate in pitching and proposal activities.
Qualifications
- Juris Doctor (JD) or equivalent law degree and admission to practice in NY; NJ a plus
- 3-6+ years of transactional corporate law experience at a law firm, with demonstrable experience in M&A, corporate transactions and commercial matters.
- Proven experience with international and domestic transactions, cross-border structuring and coordinating with foreign counsel.
- Strong experience drafting and negotiating commercial agreements, financing documents and shareholder/investor agreements.
- Demonstrated experience conducting and managing due diligence processes and preparing related reporting and schedules.
- Solid knowledge of corporate governance requirements, entity formation and corporate structuring principles.
- Excellent drafting, negotiation and analytical skills, with strong attention to detail and commercial judgment.
- Proven ability to manage multiple matters and deadlines, supervise junior team members and work effectively in teams.
- Strong communication and client-facing skills; comfort advising senior executives and boards of directors.
