Job summary

Stealth, a healthcare-focused law firm in Dallas, seeks a Healthcare Transactions Associate with 3–6 years of experience to join its growing transactional practice. You will draft and negotiate healthcare agreements, support M&A and regulatory matters, and advise on compliance for providers across Texas.

Qualified candidates have a J.D. from an accredited law school, Texas bar eligibility, and hands-on experience with provider M&A, JVs, and physician arrangements.

Qualifications

• J.D. from an accredited law school; licensed in Texas or eligible for admission.
• 3–6 years of transactional experience, ideally with an AmLaw 200 or large regional firm.
• Hands-on healthcare transactions experience (provider M&A, JVs, physician arrangements).
• Working knowledge of Stark, AKS, and HIPAA.
• Strong drafting skills and ability to manage deals with increasing independence.

Responsibilities

• Draft and negotiate healthcare transactional documents, including asset and equity purchase agreements, JV/operating agreements, and physician agreements.
• Support mergers, acquisitions, and restructurings of healthcare providers and facilities.
• Advise on regulatory issues in transactions, including Stark Law, AKS, HIPAA, and Texas rules.
• Conduct healthcare regulatory due diligence and help structure compliant arrangements.
• Collaborate with partners and clients on day-to-day operational and business strategy.
