OpenAI is seeking a Legal Contracts Manager to support government contracts and partnerships across federal, state, and local agencies. You will manage the full lifecycle of contracts, review terms, and ensure compliance with government standards in a fast-paced environment.

The role requires 7+ years in government contracting, a JD or equivalent, and a TS/SCI clearance. You will coordinate with Legal, Finance, Security, and Product to align terms with pricing and capabilities, while building

Qualifications

• 7+ years in government contracting, contract management, or tech transactions with FAR/DFARS exposure.
• JD or law degree preferred but not required.
• Active U.S. Government TS/SCI clearance.
• Experience negotiating with U.S. government agencies or prime contractors.
• Familiarity with FedRAMP, NIST 800-171, CMMC, ITAR/EAR and government data rights.
• Ability to work autonomously in fast-moving environments.
• Experience using AI tools to automate legal and compliance workflows.
• Excellent written and verbal communication skills.

Responsibilities

• Manage the full contract lifecycle for government agreements, including NDAs, services, teaming, subcontracts and order forms.
• Negotiate contracts with federal, state, and local agencies while balancing risk and objectives.
• Ensure ongoing compliance with contract requirements and certifications (e.g., FAR/DFARS, FedRAMP, CMMC).
• Support pursuits and proposals, review RFP/RFQ terms, and develop compliance matrices.
• Coordinate with Legal, Finance, Security, Capture/Proposals, and Product to align terms with capabilities and pricing.
• Maintain contract records and manage data on key terms, renewals and deliverables.
• Develop scalable contracting processes and playbooks for government sales and risk management.
• Monitor regulatory developments and advise on implications for contracts and compliance.
