Cardinal Health, a global leader in healthcare, seeks a Senior Paralegal to support corporate governance, entity management and cross-border transactions for its international subsidiaries. You will coordinate governance activities, maintain minute books and records, and work with external counsel and service providers.

Under the direction of Cardinal Health's attorneys, you will partner with international Finance, Tax, Treasury, Legal, and Compliance teams to enable strategic initiatives,

Qualifikationen

• At least 5 years of international corporate governance and entity management experience.
• BA, BS or equivalent in a related field.
• Excellent written, oral, and presentation skills.
• MS Word and Excel proficiency.
• Experience with legal entity management systems preferred.

Aufgaben

• Support governance, compliance, and strategic transactions for international subsidiaries.
• Draft and coordinate board resolutions, minutes, written consents, powers of attorney, and director/officer appointments.
• Coordinate AGMs and board meetings with external reporting and finance teams.
• Maintain corporate records and governance databases.
• Coordinate annual maintenance, filings, registrations across jurisdictions.
• Manage KYC, UBO, and audit requests with banks, auditors, and regulators.
• Support international corporate transactions including formations, mergers, restructurings, and cash/tax planning.
• Monitor governance obligations and implement corrective actions.
