Job summary

Align Technology seeks an experienced Corporate Governance & Securities Counsel, Director, to lead Board governance, SEC reporting, and governance transformation from its Tempe, AZ headquarters.

The role partners with senior leaders across Legal, Finance, Investor Relations, Tax, and Treasury to maintain best-in-class governance as a global public company and to drive digital modernization of governance and legal operations.

Qualifications

• JD degree from an accredited law school and active bar license in at least one US jurisdiction.
• 12+ years of corporate legal experience in a law firm and/or public company.
• Experience supporting SEC reporting, securities law compliance, governance matters.
• Knowledge of SEC regulations, Nasdaq listing standards, SOX, insider trading rules.
• Ability to advise executive leadership and manage cross-functional governance initiatives.
• Experience overseeing outside counsel and budgets.
• Experience leveraging AI or digital solutions for governance or reporting.

Responsibilities

• Lead governance processes for the Board and committees.
• Drive governance framework improvements and best practices.
• Advise executive leadership on governance trends.
• Prepare board agendas, materials, resolutions, and shareholder meeting docs.
• Ensure compliance with governing documents, committee charters, and board policies.
• Develop governance policies and operating standards.
• Conduct governance research and prepare briefing materials.
• Build relationships with Board members, executives, external counsel, auditors.
• Coordinate SEC reporting and disclosure processes.
• Oversee insider trading programs and 10b5-1 planning.
• Partner with Finance and Investor Relations on earnings materials.
• Oversee subsidiary governance across entities.
