Job summary

GEP, a global technology and consulting company, seeks an experienced Associate General Counsel to lead entity management, corporate governance, and transactional support across its international business. The role reports to the General Counsel and partners with Finance, Tax, HR, and external counsel to drive governance and strategic initiatives.

You will build processes, mentor the legal team, and support employment matters tied to corporate transactions, while guiding senior stakeholders

Qualifications

• J.D. from an ABA-accredited law school.
• Active bar membership in New Jersey or eligibility for in-house registration in New Jersey.
• 7+ years of post-bar corporate, governance, transactional, M&A, or related experience.
• Hands-on governance and entity formation experience.
• Ability to provide practical, business-focused legal guidance in a fast-paced environment.
• Experience working with senior stakeholders and external counsel.

Responsibilities

• Lead global entity formation, dissolution, and governance workflows across domestic and international jurisdictions.
• Manage corporate governance documentation and corporate records, including bylaws, operating agreements, and consents.
• Advise internal stakeholders on governance requirements, recordkeeping, and risk-based decision making.
• Support M&A activities, due diligence, closing coordination, and post‑closing integration.
• Draft, review, and negotiate NDAs, LOIs, purchase agreements, asset purchase agreements, and related documents.
