Job summary

Remitly, Inc. is seeking a Counsel, Corporate to advise on corporate governance, securities, equity administration, and regulatory compliance. You will support M&A, capital markets transactions, and international expansion, reporting to the Director, Legal, with a hybrid Seattle, WA in-office requirement.

The role emphasizes building a world-class legal function in a fast-growing fintech, leveraging cross-border collaborations and AI-enabled processes.

Qualifications

• J.D. or equivalent required and admission to a State Bar (WA/CA/NY preferred).
• 3+ years of experience in-house or at a law firm with a focus on corporate governance or securities.
• Experience in corporate governance, entity management, securities regulation, equity administration, M&A, capital markets transactions, and corporate finance.
• Exposure to cross-border workflows and engaging with international counsel and stakeholders.
• Deep familiarity with AI-first and adjacent tools and means of driving scale for broad enterprises.
• Ability to operate in fast-paced and often ambiguous environments, making decisions independently.
• Desire to collaborate and work as part of a global team.

Responsibilities

• Advise on corporate governance and securities laws workflows, including periodic SEC disclosures, board and committee processes, and compensation and employee benefit plans.
• Provide legal support on expansion, entity maintenance, equity administration, M&A, corporate finance transactions, and intercompany agreements.
• Identify process improvements to scale the Legal function and related teams.
• Advise teams on unclear areas of law and apply it in new contexts.
• Translate legal advice into actionable guidance for cross-functional teams.
• Assist outside counsel and regulators as needed and handle internal audit inquiries.
• Collaborate with internal partners to drive cohesive cross-border initiatives.
• Learn and succeed in a fast-paced, innovative environment.
