Job description

Now Exit is a leading merger and acquisitions advisory firm focused on helping middle‑market business owners successfully navigate business sales, acquisitions, growth strategies, and value‑maximizing transactions. We work closely with entrepreneurs, investors, and strategic buyers to deliver exceptional outcomes while maintaining a client‑focused approach throughout the transaction process.

As our organization continues to grow, we are seeking an experienced and business‑minded General Counsel Attorney to serve as our in‑house legal advisor and strategic partner.

Position Summary

The General Counsel Attorney will provide legal leadership and strategic counsel across all aspects of the company's M&A and investment banking activities. This role will support transaction execution, oversee legal risk management, review and negotiate transaction documents, and advise internal stakeholders and clients throughout the deal lifecycle.

The ideal candidate will possess strong transactional experience, excellent business judgment, and the ability to work collaboratively with business owners, buyers, investors, and advisors.

This is an exceptional opportunity for an attorney seeking sophisticated transactional work without the demanding hours often associated with large law firms or traditional investment banking environments. The position offers meaningful deal involvement, executive‑level influence, and a significantly improved work‑life balance in a stable, team‑oriented environment.

Key Responsibilities
  • Serve as the primary in‑house legal advisor for the organization.
  • Draft, review, negotiate, and manage transaction‑related documents, including:
  • Letters of Intent (LOIs)
  • Asset Purchase Agreements
  • Stock Purchase Agreements
  • Non‑Disclosure Agreements
  • Operating Agreements
  • Employment and consulting agreements
  • Advise leadership on legal and regulatory matters related to mergers and acquisitions.
  • Provide strategic legal guidance throughout the deal process, from initial engagement through closing.
  • Partner with investment banking and transaction advisory teams to identify risks and develop practical solutions.
  • Support middle‑market business owners by providing guidance on transaction structures and legal considerations.
  • Manage relationships with outside counsel when specialized legal expertise is required.
  • Ensure compliance with applicable federal, state, and industry regulations.
  • Assist in the development and continuous improvement of legal processes, policies, and risk management strategies.
  • Participate in client meetings and negotiations as a trusted advisor.
  • Support corporate governance and general business legal matters as needed.
Qualifications
Required
  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • 5-7 years of experience in:
  • Mergers and acquisitions
  • Corporate transactions
  • Investment banking legal support
  • Private equity or middle‑market transactions
  • Strong experience drafting and negotiating complex transaction documents.
  • Comprehensive understanding of corporate law, business transactions, and risk assessment.
  • Excellent communication, negotiation, and relationship‑building skills.
  • Ability to provide practical, business‑focused legal advice.
Preferred
  • Experience working with investment banks, private equity firms, advisory firms, or corporate development teams.
  • Previous in‑house counsel experience.
  • Background advising founders, entrepreneurs, and privately held businesses.
  • Experience managing multiple transactions simultaneously.
What Makes This Opportunity Unique
  • Participate in high‑value M&A transactions and strategic business deals.
  • Serve as a key member of the leadership team with direct influence on company growth.
  • Work closely with business owners, investors, and executive stakeholders.
  • Enjoy a significantly better work‑life balance than is typically found in law firms, private practice, or investment banking environments.
  • Join a collaborative, entrepreneurial culture focused on results rather than excessive billable hours.
  • Competitive compensation package including:
  • Deal‑Based Incentives
  • Additional benefits and growth opportunities
Ideal Candidate

The ideal candidate is a business‑oriented attorney who enjoys being directly involved in transactions, building trusted relationships, and helping clients navigate critical business decisions. This individual thrives in a fast‑paced M&A environment but is seeking a long‑term opportunity that provides both professional challenge and personal balance.
