Job summary

Alexander Chapman Ltd. seeks an attorney to advise its business teams on corporate, securities and M&A matters in New York.

You will work closely with investment professionals, participate in transactions, and assist with internal approvals and decision-making. The role requires JD and active New York Bar admission, with 2–4 years of corporate/transactional experience and a strong track record in securities offerings and M&A.

Qualifications

• 2–4 years of corporate and transactional legal experience preferred.
• Experience with securities offerings and M&A transactions.
• Training at a large law firm or experience within an investment bank strongly preferred.
• Strong drafting and negotiation skills, sound judgment and the ability to manage competing deadlines.
• Ability to communicate clearly with senior attorneys and business teams and provide practical legal advice.

Responsibilities

• Draft, review and negotiate engagement letters, confidentiality agreements and related transaction documents.
• Advise investment bankers on transaction-related legal issues, contractual obligations and potential risks.
• Participate in transaction review and approval committees, helping assess proposed engagements and resolve legal questions.
• Monitor securities law and regulatory developments and advise internal teams on their impact.
• Coordinate outside counsel, oversee assigned legal workstreams and manage related legal expenses.
• Support special projects, third-party matters and transaction-related disputes or litigation.

About the opportunity:

Compensation Range: $185,000 - $215,000 base salary + Bonus
