Team / Division Overview

The Fund Administration and Legal Entity Governance team is responsible for overseeing all aspects of the Board meeting processes for the U.S. legal entities and fund boards. The team members act as Corporate Secretaries of such legal entities and fund boards, providing Board and Committee support along with other administrative responsibilities.

As a / an Assistant Corporate Secretary, you will (be) :

  • Responsible for the coordination of meetings held by the U.S. legal entities and fund boards, oversight and preparation of all board meeting materials, and maintenance of corporate and fund records
  • Drafting routine documents for preparation of board meetings and post-meeting follow ups
  • Coordinating meeting materials with responsible parties
  • Responding to inquiries and document production requests from internal and external parties, including regulators
  • Preparation of all legal entity documentation, corporate filings, and maintenance of legal entity databases
  • Facilitating Board member compensation
  • Maintenance of team policies and procedures

We are looking for :

  • Excellent written and verbal skills to effectively communicate across all levels of the organization
  • Highly organized and detail oriented in order to maintain all trackers, calendars and deliverables
  • Ability to work in a fast paced, deadline driven environment
  • Proficient in use of Microsoft Word / PowerPoint / Excel
  • Prior drafting experience and / or corporate secretarial background will be preferred
  • Strong team culture

The salary range for this position in New York is $66,000 - $121,000. Actual salaries may be based on a number of factors including, but not limited to, a candidate's skill set, experience, education, work location and other qualifications. Posted salary ranges do not include incentive compensation or any other type of remuneration.
