Job summary

The People Of: Professional Services is seeking a Mid-Level Associate (2+ years PQE) for its Financial Institutions Group in New York. This role involves advising on high-value mergers, acquisitions, restructurings, and regulatory matters for financial institutions, insurers, and reinsurers.

Qualifications

• 2+ years of corporate transactional experience at a leading law firm.
• Experience advising financial institutions, including insurers and reinsurers, on corporate transactions.
• Admitted to the New York Bar.

Responsibilities

• Advise financial institutions and insurers on acquisitions, divestitures, restructurings, reinsurance, and capital-raising transactions
• Draft and review regulatory filings, disclosure schedules, board resolutions, and corporate consents
• Conduct due diligence (buy-side and sell-side) and prepare diligence reports
• Draft and analyze transaction agreements, public filings
• Liaise with clients, counterparties, and regulators throughout all phases of transactions
